The Cricklade Cinema! committee was formed in 2013. Its members are:

CRICKLADE CINEMA!

CONSTITUTION

1. Name

The name of the community cinema will be Cricklade Cinema!

2. Objectives

2.1 The objectives of Cricklade Cinema! are:

a. To provide screenings of quality films in a warm friendly atmosphere and at a modest cost.

b. To encourage and support the study, appreciation and understanding of film as an art form.

c. To provide a shared social experience in the local community.

2.2 These objective s will be met by:

a. Screening a regular programme of films which will be open to all.

b. Organising occasional talks, discussions about film, and other related events

c. Working with other groups in the community on matters of a mutual interest

2.3 In order to meet these objectives, Cricklade Cinema! will be run by a management committee of volunteers from the local community as a not-for-profit organisation.

3. Admission

3.1 Admission to Cricklade Cinema! films and events is open to all supporters of the organisation on payment of the appropriate admission fee, subject to venue capacity limits, and to age limits directed by the British Board of Film Classification (BBFC).

3.2 The management committee reserves the right to refuse admission, or to require to leave the premises, anyone whose behaviour or actions are deemed to be troublesome and/or dangerous.

3.3 Although Cricklade Cinema! does not operate a membership scheme as such, the management committee may maintain a record of regular supporters’ contact details. Such information will only be used for communication and consultation about Cricklade Cinema! matters, and will not be divulged to any third party.

4. Management

4.1 The business of Cricklade Cinema! will be managed by a management committee of at least 4 members and no more than 9. The management committee will consist of:

• Chair

• Treasurer

• Secretary

and such other Officers as may, from time to time, be appointed.

4.2 The management committee will be elected at the Annual General Meeting (AGM) and hold office until their successors are elected at the next AGM. The committee may co-opt members during the year as required.

4.3 Each year 2 committee members will offer to stand down so that other people are given the opportunity to be nominated for election. If no other people are nominated for the vacant roles, the current members can be re-elected if they remain willing to continue in the role.

4.4 The quorum for committee meetings is at least 4 committee members, and there must be at least 3 such meetings in a year.

4.5 The management committee will call a General Meeting at least once a year, which will be open to all Cricklade residents and other supporters who share the aims of the organisation.

4.6 A Special General Meeting may be called at any time by the committee or upon written request being made of the committee signed by at least 10 Cricklade residents.

4.7 Cricklade Cinema! shall be non-political, i.e. it shall not espouse the cause of any political party.

5. Finance

5.1 Cricklade Cinema! will be run as a not-for profit organisation. Any balance at the end of the year shall be carried forward and devoted to furthering its objectives.

5.2 Committee Members will not receive any payment for their committee duties, but may claim legitimate expenses incurred in work for Cricklade Cinema!

5.3 The treasurer will produce annual accounts which will be presented at the Annual General meeting after inspection by an independent person.

6. Alteration of Rules

6.1 No alteration of rules shall be made except by a resolution of 65% of those present at a General Meeting.

6.2 No amendment shall be made which would cause Cricklade Cinema! to cease to be a not-for-profit organisation.

7. Dissolution

7.1 Cricklade Cinema! may not be wound up except by agreement of 75% of those present at a Special General Meeting called for that purpose. In the event of winding up, any assets remaining, after all debts have been paid, shall be donated to another non-profit-making organisation with similar objectives, chosen by the Committee in consultation with the British Federation of Film Societies or a like organisation.
